Terms and Conditions

Agreement to Our Legal Terms
We are Wout Desmedt, trading as Noli Web Apps (“we”, “us”, “our”), a sole trader registered in Belgium under enterprise number 1043.553.021, at Willy Maststraat 25, 9032 Wondelgem, Belgium. Noli Study is our product. These Terms and Conditions (the “Legal Terms”) apply to the website https://noli-study.com and the app installed from it (together, the “Services”).
You can contact us by email at [email protected] or by post at Willy Maststraat 25, 9032 Wondelgem, Belgium.
Languages. These Legal Terms exist in English and in Dutch; switch the site's language to read the other version. Both versions are equally valid. If they differ, the reading most favourable to you as a consumer applies.
Accepting these Legal Terms. You accept these Legal Terms when you create an account, by ticking the box at sign-up, and again when you subscribe to Pro. Please read them first; you can save or print this page for your records. If you are a consumer, nothing in these Legal Terms takes away the rights that consumer law gives you. If anything here is unclear, the reading most favourable to you applies.
Age. You must be at least 13 years old to use the Services: the age from which a person in Belgium can consent to the processing of their own personal data. If you are under 18, you need permission from a parent or guardian to subscribe to Pro, and they are responsible for the payment. You confirm this with a checkbox when you subscribe.
Changes to these Legal Terms. We may change these Legal Terms for a valid reason: a change in the law, in the Services, in our service providers, or to make them clearer. We tell you about a change that affects you in any meaningful way by email at least 30 days before it takes effect, and show it in the Services. If you don't agree, you can close your account before the change takes effect; if you paid for a period that runs past that date, we refund the unused part. A change never applies to a period you already paid for if it's to your disadvantage. Purely editorial changes, and changes required by law or a court order, can apply sooner.
1. Our Services
Noli Study is a flashcard learning platform. You can create courses, organise them into chapters and cards, add images, study with a spaced-repetition schedule, share a chapter with someone, join a weekly leaderboard, and, depending on your plan, use AI features: generating flashcards from your documents, importing a StudyFlash export, asking the study assistant about your cards, and AI-generated wrong answers in multiple choice.
The Services work in a current web browser with an internet connection. Installed on a phone, some pages also work offline for a while. The Services are intended for use in the European Union; if you use them elsewhere, you are responsible for following local law.
2. Intellectual Property and Your Content
Our intellectual property
The Services' software, design, texts, illustrations and the names and logos “Noli Study” and “Noli Web Apps” belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use the Services for your own studies, for as long as you have an account. You may not copy, sell or reuse the Services themselves for other purposes without our written permission. This doesn't limit what the law allows you to do anyway (for example studying how the software works where the law permits it).
Your submissions and contributions
Contributions: everything you create or upload in the Services: your courses, chapters and cards, the images you add, the documents you upload to generate cards, your messages to the study assistant, your support requests and your leaderboard name (“Contributions”).
Your Contributions are private. Only you can see them, except what you choose to share: a chapter you send with a share link (the person who uses it gets their own copy), and your leaderboard name and weekly number of studied cards if you join the leaderboard. We can see your account when we help you or look into a problem, as described in our Privacy Policy.
You keep your rights; we only get what we need to run the Services: you keep all rights in your Contributions. You give us a non-exclusive, free permission to store, back up, copy, process and display your Contributions for you and for the people you share them with, and to send them to our service providers (such as the AI provider) when you use a feature that needs it. That permission ends when you delete the Contribution or your account, except for backup copies, until they are deleted as described in our Privacy Policy (at most 3 months), and copies another user already received through a share link you sent. We never sell your Contributions and never use them in advertising.
Feedback. If you send us an idea or suggestion about the Services, we may use it to improve them without paying you or naming you.
Your responsibility. Only upload content you have the right to use (for example your own notes, or course material you may use for your own studies), and nothing illegal. You are responsible for your Contributions.
3. Your Account
- Give a correct email address and keep it up to date: we use it for your account and for important notices.
- An account is for one person. Keep your password to yourself, and tell us at [email protected] if you think someone else used your account.
- Don't create accounts automatically or in someone else's name.
- You can download your cards at any time (each chapter or course as a CSV file, your whole account as a .zip file from your profile) and close your account yourself from your profile. Closing your account deletes it and its content, as described in our Privacy Policy.
4. Acceptable Use
Use the Services for your studies. Don't:
- upload or share anything illegal, such as content that infringes someone's copyright, hateful or threatening content, or personal data of others without a legal basis;
- harass, threaten or impersonate anyone, including through your leaderboard name;
- try to get into other accounts or parts of the Services you have no access to, get around security measures or the fair-use limits, or test the Services for weaknesses without our permission;
- scrape the Services, use bots or scripts to use them, or put an unreasonable load on them;
- upload viruses or other harmful code;
- resell the Services or use them for a commercial service of your own without our written permission;
- use the AI features to produce illegal content or to get around their safety rules.
What we may do when these rules are broken is described in sections 7 and 11.
5. Plans, Subscriptions and Payments
Plans
The Free plan includes everything except the AI features, plus a small one-time AI allowance to try them. Pro adds the AI features (flashcard generation from documents, StudyFlash import, the study assistant chat and AI-generated wrong answers in multiple choice), within the fair-use limits in section 9. Pro is available as a monthly subscription or as a subscription renewed every 6 months.
Prices and VAT
Prices are shown in euros on the pricing page before you subscribe. No VAT is charged: we use the Belgian special exemption scheme for small enterprises (“Bijzondere vrijstellingsregeling kleine ondernemingen – btw niet van toepassing”). The price shown is the total price you pay.
Payment and confirmation
Payments are processed by Stripe (Stripe Payments Europe, Ltd.). You can pay by card or Bancontact; renewals are charged automatically to your card or, after a Bancontact payment, by SEPA Direct Debit. Stripe emails you a receipt for every payment, and your invoices are available from your profile. When your subscription starts, we email you a confirmation of your contract with these Legal Terms, your request to start immediately, and the withdrawal form.
Automatic renewal
Your subscription renews automatically at the end of each period for a period of the same length, until you cancel it. If you forgot to cancel the 6-month plan, ask us within 14 days after it renewed and we refund the unused part of the new period. If we change the price of your plan, we tell you by email at least 30 days before the new price applies to your next renewal, so you can cancel before then. If a renewal payment fails, Stripe retries it and emails you; if it keeps failing, your subscription ends and your account returns to the Free plan. Your courses and cards are never deleted because of a failed payment.
Cancelling and switching plans
You can cancel at any time from your profile (“Manage / cancel subscription”). Cancelling stops the next renewal: you keep Pro until the end of the period you already paid for, and that period is not refunded, except as described in this section. You can switch between the monthly and the 6-month plan in the same place; the price difference is settled by Stripe.
Deleting your account cancels your subscription immediately, without a refund of the rest of the current period. If you are still within the 14-day withdrawal period, withdraw first (see below) and then delete your account.
Right of withdrawal
If you are a consumer, you have the right to withdraw from your subscription within 14 days without giving any reason. The withdrawal period ends 14 days after the day you subscribed.
Because Pro starts as soon as you pay, we ask for your express request to start immediately at checkout. You give it by ticking this box (shown in Dutch when the site is in Dutch): “I want my subscription to start immediately. If I withdraw within 14 days, I'll pay for the part I've already used.” We keep a record of that consent, also after you delete your account, as described in our Privacy Policy.
To withdraw, inform us of your decision with a clear statement before the period ends, for example by email to [email protected] from the email address on your account. You may use the model withdrawal form below, but you don't have to.
Model withdrawal form (complete and return this form only if you wish to withdraw from the contract):
To: Wout Desmedt, trading as Noli Web Apps, Willy Maststraat 25, 9032 Wondelgem, Belgium, [email protected]
I hereby give notice that I withdraw from my contract for the provision of the following service: Noli Study Pro
Ordered on:
Name:
Address:
Signature (only if this form is notified on paper):
Date:
If you withdraw, we cancel your subscription and refund what you paid, minus an amount in proportion to the days you had Pro before you told us, within 14 days of receiving your withdrawal. The refund goes to the payment method you used, at no cost to you.
Refunds when we end the Services or change Pro
If we stop offering the Services (section 10), end your account for a reason other than your serious breach of these Legal Terms (section 11), or make a change to Pro that you refuse (opening section), we refund the unused part of the period you already paid for, in proportion to the days left.
Free access
Some accounts, such as the beta testers who helped build Noli Study, have Pro free of charge. The same fair-use limits apply to them.
6. Content Others Can See, and Sharing
Some Contributions can be seen by others: a chapter you share and, if you join the leaderboard, your leaderboard name and weekly number of studied cards. For those, the rules in section 4 apply with extra care: your leaderboard name must not impersonate anyone or be offensive, and you may only share chapters you have the right to share (for example, not a publisher's copyrighted course material).
Sharing a chapter. A share link works once and expires after 48 hours if nobody uses it; you can revoke it before then. The person who uses it gets their own copy of the chapter and its cards, which they keep even if you later change or delete yours.
7. Reporting Illegal Content, and How We Moderate
Point of contact. For authorities, users and anyone else, our single point of contact under the EU Digital Services Act is [email protected]. You can write to us in Dutch or English.
Reporting. If you believe something in the Services is illegal (for example a shared chapter that infringes your copyright, or an offensive leaderboard name), email us with: where it is (a link or a description), why you believe it is illegal, your name and email address, and a statement that your report is accurate and complete to the best of your knowledge. We confirm receipt, handle reports carefully, objectively and without undue delay, and tell you what we decided.
What we may do. We don't monitor Contributions, and private content stays private. When we learn of content that is illegal or breaks these Legal Terms, we may remove it or make it unavailable, reset a leaderboard name, or, for serious or repeated breaches, suspend or close an account (section 11). We decide case by case, with human review; no automated system makes these decisions.
Our reasons, and contesting them. If we remove your content or restrict your account, we tell you what we did and why, unless the law forbids it. You can contest the decision by replying to that email; we review it again and tell you the outcome. You can also turn to an out-of-court dispute settlement body or a court.
8. Privacy
Our Privacy Policy explains which personal data we process, why, how long we keep it, and your rights.
9. AI-Generated Content and Fair Use
Flashcard generation, StudyFlash import, the study assistant and the wrong answers in multiple choice use artificial intelligence. The study assistant is an AI, not a person, and the Services say so where you use it. AI output can be incomplete or wrong: check AI-generated cards and answers before you rely on them for an exam. Content you submit to these features is processed by our AI provider, as described in our Privacy Policy.
Fair use. To keep the Services affordable and available to everyone, the AI features have limits: a monthly AI allowance per Pro account (a one-time allowance on Free) and daily limits per feature. When a limit is reached, the affected AI features pause until it resets; the rest of the Services keeps working. We never lower the limits of a period you already paid for; a lower limit for future periods is a change we announce as described in the opening section.
10. Availability, Changes and Ending the Services
We work to keep the Services available and working well, but we can't promise they will never be interrupted: maintenance, updates, security measures or problems at our providers can make them briefly unavailable. We may improve and change the Services (new features, fixes, design changes). A change that takes away something you pay for, or makes Pro meaningfully worse, is announced and handled as described in the opening section.
Discontinuation of the Services. If we decide to stop offering the Services as a whole, we will give you at least 30 days' notice, by email to the address on your account and by a notice on the Services. Your account and content remain available until the end of that period, and you can export your cards during it: each chapter or course as a CSV file, and your whole account (including images and study progress) as a .zip file from your profile. Afterwards, your account and content are deleted as described in our Privacy Policy. If you paid for a period that runs past the end of the Services, we refund the unused part (section 5).
11. Ending Your Account
By you. You can close your account at any time from your profile. What happens to a running subscription is described in section 5.
By us. We may suspend or close your account straight away if you seriously or repeatedly break these Legal Terms or the law (for example by uploading illegal content or attacking the Services), or if the law requires it. Otherwise we give you at least 30 days' notice by email, time to export your cards, and a refund of the unused part of a paid period. In every case we tell you the reason, and you can contest it as described in section 7. If we close an account for a serious breach, you may not create a new one to get around that.
12. Legal Guarantee and Liability
Legal guarantee. As a consumer, you have the legal guarantee of conformity for the Services: they must match their description and work as you may reasonably expect for the whole period you use them. If they don't, tell us at [email protected] and we will fix it; if we can't within a reasonable time, you can ask for a price reduction or end your subscription with a refund, as the law provides.
Your data. We back up the Services daily and take reasonable care of your data. Even so, keep your own export of anything you can't afford to lose.
Liability. We are liable for damage caused by our breach of these Legal Terms or by our fault, as the law provides. For ordinary negligence, our liability is limited to the damage we could reasonably foresee when you accepted these Legal Terms, and to the amount you paid us in the 12 months before the damage happened. We are not liable for the content of AI output you didn't check, for your own Contributions, or for events beyond our reasonable control.
Nothing in these Legal Terms excludes or limits our liability for our intentional misconduct or gross negligence, for death or personal injury, or any other liability that cannot be excluded or limited under the consumer protection law that applies to you.
13. Claims by Others
If someone else brings a claim against us because of content you uploaded or shared unlawfully, or because you broke these Legal Terms on purpose or through gross negligence, you compensate us for the reasonable costs of that claim, to the extent the law allows. We tell you about such a claim promptly.
14. Governing Law and Courts
These Legal Terms are governed by Belgian law. If you are a consumer living in another EU country, you also keep the protection of the mandatory rules of the country you live in. You can take a dispute to the courts of Ghent (East Flanders) or to the courts where you live; if we have to take a dispute to court against a consumer, we can only do so in the courts where you live.
15. Complaints and Dispute Resolution
Send a complaint to [email protected]. We answer within 14 days and try to find a solution with you. If we can't agree, you can turn to the Belgian Consumer Mediation Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur), consumentenombudsdienst.be, which we are willing to work with. The European Commission also lists consumer redress options in every EU country. You can always go to court instead (section 14).
16. Electronic Communication
We communicate with you electronically: by email to the address on your account and through notices in the Services. Where the law requires something in writing, an email counts, unless the law says otherwise.
17. Miscellaneous
These Legal Terms, together with the Privacy Policy, are the whole agreement between you and us about the Services. If a provision turns out to be invalid, the rest stays valid, and the invalid provision is replaced by a valid one that comes as close to it as the law allows. If we don't enforce a right straight away, we don't give it up. We may transfer our agreement with you to another company only if that doesn't reduce your rights, and we tell you first; you can then close your account with a refund of the unused part of a paid period.
